Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, 2AM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES. IN NO EVENT WILL 2AM'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO 2AM IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Arbitration
At either party's election, disputes arising out of or relating to these Terms or our Services that cannot be resolved by mutual agreement may be resolved by binding arbitration before a mutually agreed-upon arbitrator. Arbitration will be conducted in New York, New York. The arbitrator may not award punitive or multiplied damages beyond what is permitted under these Terms.
Termination
2AM may terminate these Terms or restrict, suspend, or terminate your access to our Services at any time, with or without notice, for any reason.
General
These Terms constitute the entire agreement between you and 2AM regarding your use of our Services. These Terms are governed by the laws of the State of New York without regard to conflict of law provisions. Any claim arising out of or related to these Terms must be filed within one (1) year of when the claim arose. If any provision of these Terms is found invalid, the remaining provisions remain in full effect.
